These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VRLY Ventures LLC, doing business as CUSitez.com ("CUSitez," "Company," "we," "us," or "our"), governing your access to and use of the CUSitez platform, website, and related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE. These Terms contain provisions regarding limitation of liability, indemnification, and dispute resolution that affect your rights. Please read them carefully.
1. Service Description
CUSitez provides a cloud-based software-as-a-service (SaaS) platform that enables credit unions and financial institutions to create, manage, and host websites. The Service includes website themes, content management, rate tables, form builders, media management, domain management, and related tools.
The Service is a tool to assist with your web presence. It does not provide legal, financial, regulatory, or professional advice. You are solely responsible for ensuring your website content complies with all applicable laws, regulations, and industry requirements, including but not limited to NCUA regulations, Equal Housing Lender requirements, ADA/WCAG accessibility standards, and state and federal consumer protection laws.
2. Account Registration and Security
Account Creation
You must provide accurate, complete, and current information when creating an account. You agree to update your information promptly to keep it accurate.
Account Security
You are solely responsible for safeguarding your password and for any activities or actions that occur under your account, whether or not you have authorized such activities. You must notify us immediately at hello@cusitez.com of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Organization Authorization
If you register on behalf of a credit union or other organization, you represent and warrant that you have the authority to bind that organization to these Terms. The organization agrees to be bound by these Terms.
3. Subscription and Payment
Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. By subscribing, you authorize us to charge your payment method on a recurring basis.
Refund Policy
All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. No partial-period refunds will be issued for cancellations mid-cycle.
Price Changes
We reserve the right to modify our pricing with at least thirty (30) days' advance written notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Taxes
You are responsible for all applicable taxes, duties, and levies associated with your use of the Service, excluding taxes based on our net income.
4. User Responsibilities and Data Ownership
Your Obligations
You agree to:
- Use the Service only for lawful purposes and in accordance with these Terms
- Provide accurate information and content
- Maintain the confidentiality of your account credentials
- Prevent unauthorized account sharing or access
- Comply with all applicable laws, regulations, and industry requirements
- Not attempt to gain unauthorized access to any part of the Service
- Not transmit viruses, malware, or other harmful code
- Comply with our Acceptable Use Policy
Data Ownership and Accuracy
You retain ownership of the content and data you submit to the Service ("Your Data"). YOU ARE SOLELY RESPONSIBLE FOR THE ACCURACY, QUALITY, INTEGRITY, LEGALITY, RELIABILITY, AND APPROPRIATENESS OF YOUR DATA. We do not verify, audit, or review Your Data for accuracy, legal compliance, or regulatory conformity.
Backup Responsibility
YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUP COPIES OF YOUR DATA. While we maintain operational backups as part of our infrastructure, we strongly recommend you regularly export and independently back up your content, media, and configuration data.
License Grant to Us
By submitting content to the Service, you grant us a limited, non-exclusive, worldwide license to process, store, display, and transmit Your Data solely as necessary to provide the Service to you. This license terminates when you delete Your Data or your account is closed.
Data Export
You may export Your Data at any time during an active subscription through the tools provided in the Service.
5. Intellectual Property
Our Ownership
The Service, including its design, features, themes, functionality, source code, and underlying technology, is owned by VRLY Ventures LLC and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.
Your License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your active subscription.
Restrictions
You may not:
- Copy, modify, adapt, or create derivative works of the Service
- Reverse engineer, disassemble, decompile, or attempt to extract the source code
- Distribute, sell, lease, sublicense, or otherwise transfer the Service
- Remove, alter, or obscure any proprietary notices
- Use the Service to build a competing product or service
- Scrape, crawl, or use automated means to access the Service beyond its intended functionality
6. Third-Party Services
The Service may integrate with or facilitate access to third-party services, including but not limited to payment processors (Stripe), cloud storage providers, AI services (OpenAI), domain registrars, and analytics platforms.
YOUR USE OF SUCH THIRD-PARTY SERVICES IS AT YOUR OWN RISK and is governed by the respective third party's terms and conditions and privacy policies. We assume no responsibility or liability for any third-party services, their availability, accuracy, or security.
7. Website Content and Compliance
You are solely responsible for all content published on your credit union website through the Service. This includes but is not limited to:
- Accuracy of rates, terms, disclosures, and product descriptions
- Compliance with NCUA regulations, Truth in Savings Act, Truth in Lending Act, and other applicable financial regulations
- Compliance with Equal Housing Lender requirements
- Compliance with ADA and WCAG accessibility standards
- Compliance with CAN-SPAM, TCPA, and other communication laws
- Accuracy of NMLS numbers, routing numbers, and other identifiers
- Proper handling of member inquiries and form submissions
While CUSitez provides tools to assist with compliance (such as compliance footer templates and accessibility widgets), these tools do not guarantee regulatory compliance. You must independently verify that your website meets all applicable requirements.
8. AI-Generated Content
The Service may include AI-powered content generation features. If you use these features:
- AI-generated content is provided as a starting point only and may contain errors, inaccuracies, or inappropriate content
- You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing
- We make no representations regarding the accuracy, completeness, or regulatory compliance of AI-generated content
- AI-generated content does not constitute professional, legal, financial, or regulatory advice
- Your use of AI features is subject to OpenAI's usage policies
9. Warranty Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will meet your specific requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate, reliable, or complete
- Any errors in the Service will be corrected
- The Service will be compatible with any other software, systems, or services
- The Service will ensure regulatory compliance for your organization
YOU ARE SOLELY RESPONSIBLE FOR the accuracy of your data, the verification of all output and content, compliance with applicable laws and regulations, and any decisions made based on information presented through the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CUSITEZ, VRLY VENTURES LLC, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Cost of procurement of substitute services
- Damages arising from third-party services or integrations
- Regulatory fines, penalties, or enforcement actions
- Claims by your members, customers, or website visitors
regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
These limitations apply even if any remedy fails of its essential purpose. The fees charged for the Service reflect the allocation of risk set forth in this agreement.
11. Indemnification
You agree to indemnify, defend, and hold harmless VRLY Ventures LLC (dba CUSitez.com) and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your Data or content published on your website
- Your violation of these Terms or the Acceptable Use Policy
- Your violation of any applicable law, regulation, or industry requirement
- Your violation of any third party's rights
- Claims by your members, customers, website visitors, or any third party related to your website or its content
- Regulatory actions, fines, or penalties arising from your use of the Service or your website content
12. Termination
Termination by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No partial-period refunds will be issued.
Termination by Us
We may suspend or terminate your access to the Service immediately and without prior notice if you:
- Violate these Terms or the Acceptable Use Policy
- Fail to pay fees when due
- Engage in conduct that we determine, in our sole discretion, may harm the Service, other users, or third parties
We may also terminate the Service or your access at any time for any reason with thirty (30) days' written notice.
Effects of Termination
- Your access to the Service ceases immediately upon termination
- Your website will be taken offline
- You may export Your Data for thirty (30) days following termination
- After 30 days, Your Data may be permanently deleted
- Provisions regarding intellectual property, warranty disclaimers, limitation of liability, indemnification, and dispute resolution survive termination
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes via email or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
14. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.
Exclusive Venue
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Middlesex County, New Jersey. You consent to the personal jurisdiction and venue of such courts.
Jury Trial Waiver
EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
Limitations Period
Any claim or cause of action arising out of or related to these Terms or the Service must be commenced within one (1) year after the cause of action accrues, or it is permanently barred.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service, superseding all prior agreements.
- Severability: If any provision of these Terms is held to be unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, power failures, internet disruptions, or governmental actions.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
- Notices: Notices to you will be sent to the email address associated with your account. Notices to us should be sent to hello@cusitez.com or the mailing address below.
- Independent Contractors: The relationship between you and CUSitez is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
